S-Filer Portal™ Secure File Transfer and File Sharing
End-User Terms and Conditions

In the following document, Company refers to: OKIOK Data Ltd.
These Terms and Conditions (the "Terms") govern your access to and use of the S-Filer Portal™ secure file-transfer, storage, and sharing service (the "Service"). The Service is operated by the Company, which licenses the S-Filer Portal™ software from OKIOK Data Ltd. ("OKIOK"), the software publisher and infrastructure provider.
0. Relationship of the Parties
These Terms form a binding agreement between you (the end user) and the Company operating this Service instance. OKIOK Data Ltd. is not a direct contracting party but may act as a service provider or sub-processor on behalf of the Company to deliver hosting, maintenance, and security functions.
By creating an account, accessing, or using the Service, you agree to be bound by these Terms and by the Company's Privacy Policy. If you do not agree, do not use the Service.
1. Definitions
- 1.1 Company, we, our, or us — the organization operating the S-Filer Portal™ instance to which you have been granted access.
- 1.2 OKIOK Data Ltd. — a corporation incorporated under the laws of Québec, Canada (230 655 Promenade du Centropolis, Laval H7T 0A3) and the publisher of S-Filer Portal™.
- 1.3 User, you, or your — any person or entity accessing or using the Service.
- 1.4 Account — your registered profile used to authenticate and access the Service.
- 1.5 Content — any file, data, text, image, audio, video, or other material you upload, transmit, store, or share through the Service.
- 1.6 Shared Link — a URL or other mechanism generated by the Service to permit viewing or downloading of Content.
- 1.7 Order — any plan, license, or configuration selected by the Company that defines the Service parameters for users.
2. Eligibility and Acceptance
- 2.1 You must be of the age of majority in your jurisdiction and capable of forming a binding contract.
- 2.2 The Service is not intended for children under 13 (or the local age of digital consent).
- 2.3 By using the Service, you acknowledge these Terms and any additional policies referenced herein.
3. Account Registration and Security
- 3.1 Provide accurate, current, and complete information when creating or updating your Account.
- 3.2 Safeguard your credentials, passwords, and multi-factor tokens. You are responsible for all activities performed under your Account.
- 3.3 Notify the Company immediately if you suspect unauthorized access. Neither the Company nor OKIOK is liable for losses resulting from compromised credentials.
4. The Service
- 4.1 Core Functionality. The Service enables secure upload, storage, and sharing of Content with authorized recipients and may include features such as encryption, link expiration, password protection, audit logs, virus scanning, and administrative controls.
- 4.2 Storage and Retention. The Company determines storage, retention, and deletion policies. Content may be deleted when limits or retention periods expire, when your Account is terminated, or as required by law. Upon termination or upon request, Content will be deleted or returned consistent with the Company's data-retention policy.
- 4.3 Access Controls. You are responsible for any permissions, passwords, or expiration settings you apply to Shared Links.
- 4.4 Usage Limits. Reasonable limits on bandwidth, file size, or number of recipients may apply to maintain Service quality.
- 4.5 Service Changes. The Company, with support from OKIOK, may enhance or modify the Service. Material reductions of core functionality will occur only where required for security, legal, or operational reasons.
5. Privacy and Data Processing
- 5.1 Privacy Policy. Personal data is collected and used in accordance with the Company's Privacy Policy.
- 5.2 Roles and Responsibilities.
- The Company acts as controller of personal data within its Service instance.
- OKIOK Data Ltd. acts as a processor or sub-processor providing infrastructure, hosting, and technical support on behalf of the Company. When acting as processor, OKIOK processes data only on documented instructions from the Company and in compliance with applicable privacy legislation, including Québec's Act Respecting the Protection of Personal Information in the Private Sector and the EU/UK GDPR (where applicable).
- 5.3 Sub-processors. The Company and OKIOK may engage vetted sub-processors. A current list is available at https://www.okiok.com/legal/subprocessors.
- 5.4 Security. Technical and organizational measures are implemented consistent with industry best practices. However, no method of transmission or storage is completely secure.
6. User Responsibilities
- 6.1 Use the Service only as permitted by law and these Terms.
- 6.2 Do not upload or share Content unless you have the necessary rights and consents.
- 6.3 Configure appropriate encryption, access controls, expirations, and retention settings.
- 6.4 Maintain your own backups of Content.
- 6.5 You retain all ownership rights in your Content but grant the Company and OKIOK Data Ltd. a limited, non-exclusive, worldwide, royalty-free license to host, store, transmit, and process such Content solely to operate, maintain, and secure the Service.
7. Acceptable Use Policy (AUP)
You must not:
- Upload or share Content that is illegal, infringing, defamatory, obscene, or otherwise objectionable.
- Distribute malware or attempt to compromise the Service's security.
- Probe, scan, or test vulnerabilities or circumvent authentication.
- Use the Service for spam, phishing, or any unlawful purpose.
- Interfere with the Service, conduct denial-of-service attacks, or engage in unauthorized automation or scraping.
- Reverse engineer or decompile any component of the Service except as expressly permitted by law.
8. Special Data Types
- 8.1 Unless specifically authorized in writing by the Company, you may not use the Service to store or process: payment-card data (PCI DSS), protected health information (HIPAA), children's data (COPPA), or classified information.
- 8.2 Where authorized, you must comply with all additional contractual and legal requirements.
9. Intellectual Property and Feedback
- 9.1 Service IP. OKIOK Data Ltd. and its licensors own all rights in the S-Filer Portal™ software, interfaces, designs, and documentation. No rights are granted except as expressly set out herein.
- 9.2 Feedback. If you submit feedback or suggestions, you grant OKIOK Data Ltd. and the Company a perpetual, royalty-free license to use it for improvement of the Service.
10. Third-Party Services
The Service may integrate with third-party applications or sites. Their use is governed by their own terms and policies. Neither the Company nor OKIOK is responsible for third-party services.
11. Security and Incident Response
- 11.1 If the Company or OKIOK becomes aware of a security incident involving personal data, affected users will be notified without undue delay in accordance with applicable law.
- 11.2 The Service is protected according to state-of-the-art practices, but absolute security or uninterrupted availability cannot be guaranteed.
- 11.3 Accounts of repeat infringers may be suspended or terminated.
12. Service Availability
The Service is designed for high reliability, yet temporary maintenance or downtime may occur with or without notice.
13. Warranties
The Service is provided "as is" and "as available." To the maximum extent permitted by law, the Company and OKIOK disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and error-free operation.
14. Limitation of Liability
To the extent permitted by law, neither the Company nor OKIOK Data Ltd. shall be liable for any indirect, incidental, special, consequential, or punitive damages; loss of profits, data, goodwill, or business interruption; or the cost of substitute services, even if advised of the possibility of such damages.
15. Indemnification
You agree to defend and hold harmless the Company, OKIOK Data Ltd., and their affiliates, officers, employees, and agents from any claims arising from (a) your Content, (b) your breach of these Terms or law, or (c) your violation of third-party rights.
16. Export Controls and Sanctions
You confirm you are not located in a country subject to comprehensive U.S. or Canadian sanctions and are not listed on restricted-party lists. You will not export or transfer Content in violation of applicable laws.
17. Force Majeure
Neither the Company nor OKIOK shall be liable for any delay or failure to perform due to causes beyond their reasonable control, including natural disasters, war, terrorism, civil unrest, labor disputes, government actions, or internet outages.
18. Changes to Terms
The Company may update these Terms from time to time. Revisions take effect on the stated effective date. Your continued use after that date constitutes acceptance.
19. Governing Law and Dispute Resolution
These Terms are governed by the laws of the Province of Québec, Canada. Any dispute shall be submitted to the exclusive jurisdiction of the courts of the Province of Québec, District of Montréal.
20. Enterprise and Administrative Accounts
- 20.1 Administrators. If you belong to a team or enterprise instance, administrators may manage your access, policies, and activity data as permitted by plan features and law.
- 20.2 Organizational Control. If you use an email address issued by your employer or organization, your Account and associated Content may be owned or controlled by that organization.
